John R. Fahy is a seasoned securities attorney who has worked for the U.S. Securities and Exchange Commission and the Texas State Securities Board. Before joining Whitaker Chalk, he served as:

  • General Counsel for two NASD-registered Securities Broker-Dealers
  • Staff Enforcement Attorney for the U.S. Securities and Exchange Commission
  • Managing Attorney for the Texas State Securities Board's Houston Office

In his law practice John currently:

  • Acts as securities counsel for Nasdaq-listed public companies, including the preparation of SEC filings
  • Represents clients in inquiries and investigations by the SEC, the NASD, the Texas State Securities Board, and other securities regulators
  • Acts as transactional counsel in mergers, acquisitions, and securities placements
  • Advises registered broker-dealers and investment advisers on compliance issues and procedures
  • Represents clients in securities arbitrations
  • Keeps clients up-to-date on changes in the regulatory environment to keep the securities regulators from calling
  • Prepares Private Placement Memoranda for Private Offerings and files Regulation D forms

Mr. Fahy was named a top attorney in Tarrant County by Fort Worth Magazine for securities law in 2007 and 2008.

Mr. Fahy is admitted to practice law in Texas, in the U.S. Supreme Court, in the Fifth Circuit Court of Appeals, and in Federal District Court for the Northern and Southern Districts of Texas.
