John Allen Chalk has extensive general business and commercial litigation experience, including employment and restrictive covenant issues. He is an active mediator and arbitrator and represents clients in mediation and arbitration - both domestic and international. Mr. Chalk has obtained large jury verdicts and arbitration awards for his clients. He has also arbitrated many complex disputes involving large claims and counterclaims. Mr. Chalk has assisted clients in obtaining more than U.S.$1 billion in project and corporate fundings, including the structuring, financing, and funding of approximately U.S.$55 million in infrastructure projects in the Republic of Kazakhstan following its independence from the Soviet Union. He represents many post-secondary vocational and career schools and colleges across the U.S. in their regulatory compliance and related business issues. Mr. Chalk has represented numerous healthcare entities, including physician practice groups, hospitals, ambulatory surgery centers, home health agencies, and related groups.
As general counsel for a large, independent petroleum refining and marketing company (1978-84), as special counsel for a Texas real estate developer (1984-86), and as a member of two law firms (1973-78; 1986 - present), Mr. Chalk understands what clients want from their lawyers and how lawyers best serve their clients. As a litigator, mediator, and arbitrator, Mr. Chalk constantly applies cost-benefit and risk analysis in assisting clients and opposing parties to understand the importance of efficient resolution of their disputes.
Representative Cases- Enforced covenant-not-to-compete and obtained seven-figure damages arbitration award for healthcare client.
- Obtained a $4.9 million jury verdict for small mining company against a large, multinational corporation that had put the small mining company out of business by unfair competition.
- Obtained a $2.9 million jury verdict for the operator of a commercial softball park against its general public liability carrier for paying a claim that the operator had expressly negotiated as an exclusion to the coverage.
- Obtained an arbitration award that prevented my clients from having to pay a $10 million claim and that awarded my clients approximately $1 million in attorney’s fees and costs.
- Obtained a confidential money settlement for the developer of a solar energy product whose trade secrets were disclosed without permission by a large transportation company.
- Negotiated, structured, drafted, and financed approximately $60 million in infrastructure contracts for my U.S. client with various companies in the Republic of Kazakhstan after its independence from the Soviet Union.
- Planned and executed the plan by which my shareholder clients obtain a complete buy-out for cash in a deadlocked business.
- Negotiated and drafted Asset Purchase Agreements and Stock Purchase Agreements for the acquisition of post-secondary vocational and career schools and colleges in various states of the U.S.
